Project Boo Terms and conditions
These terms and conditions govern your use of the Websites and the Platform (as defined below), and by using or continuing to use the site you agree to be bound by them.
They should be read in conjunction with any specific terms and conditions put in place by a convention. In the event of a conflict between a convention's terms and conditions and these terms and conditions, these terms and conditions shall prevail.
Definitions
We or Us means HummingbirdUK Web Design Limited, trading as Project Boo, a company registered in England and Wales under company number 08723764, and Our shall be interpreted accordingly.
The Platform means the convention management platform created and run by Us known as Project Boo.
The Websites means the website owned and operated by Us at https://projectboo.co.uk, and any websites powered by the Platform (whether they are on their own domain name or as subdomains of the projectboo.co.uk domain.
You means a user of the Platform or the Website.
This Agreement means these terms and conditions.
Agreement
You acknowledge that by using or accessing the Website you agree to be bound by the terms of this Agreement.
If You create an account with us you agree to keep that account safe and secure, not to share access to that account with any other person, and to inform us as soon as reasonably practicable in the event that you believe a breach has occured in the security of that account (howsoever occurring).
You acknowledge that the purpose of the Platform is to allow organisers of conventions to use the Platform for the management thereof, and that in purchasing tickets or other items (or otherwise engaging with a convention) through the Platform that you are entering into a contract direct with the organiser of the convention, who may have their own terms and conditions governing matters such as returns and / or refunds.
You acknowledge that We, and the Platform, facilitate the relationship between you and the convention organisers, but we have no direct control over their actions, and will not, therefore, be liable for any loss you suffer as a result of their action or inaction.
Limitation of liability
Under no circumstances will We have any liability to You for any lost profits, revenue, or for any indirect, special, incidental, consquential or punitive damages (howseoever termed) whether in contract or in tort, and whether or not We or You have been advised of the possibility of such damages. Our maximum liability to you for the breach of any term of this Agreement shall be limited to the sum of £1.00 (one pound).
Notwithstanding the generality of the previous paragraph, the disclaimer set out therein shall not apply to the extent prohibited by law - in particular, nothing in this Agreement shall operate to limit or remove liability for damages occuring as a result of personal injury or death caused by negligence. Although admittedly that's pretty unlikely.
Limitation of liability
Any notices to be served on Us must be served in writing to Our registered office from time to time.
Any notices to be served on You will be served via email to email address given by you when registering an account with Us on the Website and / or the Platform.
General provisions
No waiver or delay by either party in exercising any of its rights under this Agreement shall constitute a waiver or delay of any of its other rights. No waiver under this Agreement shall be effective unless made in writing and delivered by an authorised representative of Us, or by You, as the case may be.
This Agreement will be enforced to the fullest extent allowed by law and if any part of this Agreement is held by a court of competent jurisdiction to be contrary to the law, the provision will be modified by the court and interpreted so as to best accomplish the objectives of the original provision to the fullest extent possible, and the remaining provisions of this Agreement shall remain in full force and effect.
You may not assign or otherwise delegate or deal with any of your rights or obligations under this Agreement. We may assign, in whole or in part, or otherwise deal with in any way We see fit our rights and / or obligations under this Agreement without your consent.
Except where you organise a convention which is powered by the Platform, you agree that this Agreement represents the entire agreement between You and Us relating to the Website, the Platform, and your use thereof, and that it supercedes any and all prior agreements, whether written or oral.
This Agreement shall be governed by and construed in accordance with English law, and the courts of England and Wales shall have the exclusive jurisdiction to resolve any disputes arising out of this Agreement.
